TERMS OF SERVICE: SOPHUS CONNECT & SOPHUS TRAINING ONLINE FOR PROLAW

Sophus Consulting (“Sophus”) is the proud owner of the Sophus Connect platform (“Sophus Connect”). Through Sophus Connect, users like you, whether you are an individual or an organization or company (“you”), may access a variety of Sophus products and services, such as Sophus Training Online forProLaw.*

You are permitted to use Sophus Connect and the content within Sophus Connect, including Sophus Training Online forProLaw, on the conditions that you accept and abide by these Terms of Service (“Terms of Service”) and you agree to be bound by Sophus’ Privacy Policy, available at https://sophusconsulting.com/privacy-policy/ and incorporated herein by reference (“Privacy Policy”), without modifications. In other words, these Terms of Service are a legal agreement between you and Sophus. If you do not agree to the terms of these Terms of Service or our Privacy Policy, you may not use or access Sophus Connect or Sophus Training Online forProLaw.

IN ADDITION, PLEASE BE ADVISED THAT THESE TERMS OF SERVICE CONTAINS PROVISIONS THAT GOVERN HOW DISPUTES BETWEEN US ARE RESOLVED, INCLUDING ARBITRATION, A JURY TRIAL WAIVER AND A CLASS ACTION WAIVER.

1. ABOUT SOPHUS CONNECT & SOPHUS TRAINING ONLINE FOR PROLAW

Sophus Connect is an online platform that provides information, videos, training, and other content related to legal software to registered users and their company or organization (“Company”). Sophus Training Online forProLaw is offered through Sophus Connect and was exclusively created by Sophus to teach users the fundamentals of ProLaw. Users, through their Company, will have access to Sophus Connect so long as the user and their Company abide by these Terms of Service.  

2. SECURITY & MONITORING

You are solely responsible for maintaining the security of your computer, browser, and any applicable passwords. You agree to accept responsibility for any and all activities or actions that occur under your computer, browser and/or passwords, whether you are using Sophus Connect or another’s website, electronic device, or software. You acknowledge and agree that Sophus reserves the right to monitor Sophus Connect (and all content and use within Sophus Connect, including Sophus Training Online for ProLaw) electronically from time to time, and to disclose any information that Sophus deems necessary to satisfy any law, regulation or other governmental request, to operate any Sophus products or services properly, or to protect Sophus, Sophus’ users, and Sophus’ affiliates, partners and contracted parties.

3. YOUR REPRESENTATIONS & WARRANTIES

You represent and warrant the following:

A. You will not use Sophus Connect or Sophus Training Online for ProLaw for illegal or prohibited purposes. Specifically, as one of the conditions of your use of Sophus Connect and Sophus Training Online for ProLaw, you represent, warrant and agree that you will not use (or plan, encourage or help others to use) Sophus Connect or Sophus Training Online for ProLaw in any manner that is prohibited by these Terms of Service, or which is illegal or prohibited by applicable law.

B. You will comply with laws in your jurisdiction. Recognizing the global nature of the Internet, you will comply with all local laws and rules regarding online conduct and acceptable data. Specifically, you shall comply with all applicable laws of your jurisdiction regarding the transmission of technical data and personally identifiable information.

C. You (if you are an individual) are over the age of 18 and capable of giving legal consent. Sophus Connect and Sophus Training Online for ProLaw are not for, or meant to be accessed by, minors. You must be at least the age of 18 to use Sophus Connect and Sophus Training Online for ProLaw. You represent and warrant that you are over the age of 18 and you have the full right, power and authority to enter into these Terms of Service and to fully perform all of your obligations hereunder. You further represent and warrant that you are under no legal disability or contractual restriction that prevents you from entering into these Terms of Service.

D. You have not been prohibited from using Sophus Connect or Sophus Training Online for ProLaw. If you have been banned, suspended, or prohibited from using Sophus Connect or Sophus Training Online for ProLaw in the past, or you have been banned from using any of Sophus’ other products and services, you shall not use either Sophus Connect or Sophus Training Online for ProLaw, even if such use is under a different account, name, or username.

E. You (if you are an individual) have your Company’s consent to use Sophus Connect and Sophus Training Online for ProLaw. You must have permission from your Company to use Sophus Connect and Sophus Training Online for ProLaw. If your employment or affiliation with Company has been terminated, you may not use or access Sophus Connect or Sophus Training Online for ProLaw under your Company’s organizational account.

F. You (if you are Company) agree to additional representations and warranties related to Company’s end users, licensing, indemnification, payment, and Company standing. You, if you are Company, represent and warrant that (i) you shall ensure that your end users of Sophus Connect or Sophus Training Online for ProLaw comply with these Terms of Service; (ii) you have a valid license and right to use ProLaw; (iii) you are solely responsible for the conduct of your end users of Sophus Connect and Sophus Training Online for ProLaw; (iv) you will indemnify and hold harmless Sophus and Sophus parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) from any claim or demand, including reasonable attorneys' fees, arising out of or related to your use, or your end users use, of Sophus Connect and Sophus Training Online for ProLaw; (v) you have paid Sophus the required fees for Sophus Connect and Sophus Training Online for ProLaw; and (vi) Company is valid, in good standing, and that the individual entering into these Terms of Service on behalf of Company has the right to do so.

4. PROHIBITED USES

You specifically agree that you WILL NOT do any of the following:

• Use Sophus Connect or Sophus Training Online for ProLaw to transmit any content, or select any username or email address, that is misleading, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, or ethnically objectionable.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit content or information that promotes illegal activity.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit content or information that exploits the images of children under 18 years of age, or that discloses personally identifying information belonging to children under 18 years of age.
• Use Sophus Connect or Sophus Training Online for ProLaw to harm, “stalk” or otherwise harass another.
• Use Sophus Connect or Sophus Training Online for ProLaw to harvest, collect or store personally identifying information, including email addresses, about others without their permission.
• During your use of Sophus Connect or Sophus Training Online for ProLaw, impersonate any person or entity or suggest a false affiliation with any person or entity.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit content or information that you do not have a right to transmit under any law or regulation or under contractual or fiduciary relationships (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
• Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file or content within Sophus Connect.
• Restrict or inhibit any other user from using and enjoying Sophus Connect or Sophus Training Online for ProLaw or features of Sophus Connect or Sophus Training Online for ProLaw.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit any content or information that facilitates hacking.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit any content or information that infringes any patent, trademark, service mark, trade secret, copyright or other proprietary rights of any party, or contributing to inducing or facilitating such infringement.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
• Use Sophus Connect or Sophus Training Online for ProLaw to transmit any material that contains software viruses, worms, Trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware.
• Use automated means, including spiders, robots, crawlers, or the like to download data from any of Sophus databases.
• Conduct your own contests, games, raffles, or promotions using Sophus Connect or Sophus Training Online for ProLaw without Sophus’ explicit written consent.
• Resell, repackage, or provide others with content or materials that you received through Sophus Connect or Sophus Training Online for ProLaw.
• Incorporate information or content from Sophus Connect or Sophus Training Online for ProLaw into any email or “white pages” products or services.
• Interfere with or disrupt Sophus Connect or Sophus Training Online for ProLaw, or servers or networks connected to Sophus Connect or Sophus Training Online for ProLaw.
• Decompile, disassemble, modify, translate, adapt, reverse engineer, create derivative works from, or sublicense any work, including but not limited to software which is deployed in connection with Sophus Connect or Sophus Training Online for ProLaw.
• Make Sophus Connect or Sophus Training Online for ProLaw available to any third-party without Sophus’ explicit written permission.

5. USER CONTENT

A. You are responsible for Your Content. You are responsible for all information, data, and material that you enter into Sophus Connect or otherwise provide to us (“YourContent”). Sophus takes no responsibility and assumes no liability for Your Content you or for content or information third parties post or otherwise display on or through Sophus Connect. You specifically acknowledge and agree that Sophus is not obligated to retain or back up Your Content or the content of others.

B. Representations and warranties. By entering Your Content into Sophus Connect or otherwise providing Your Content to Sophus, you represent and warrant that: (i) Your Content is either yours (you own it) or you have the right to use Your Content and provide it to Sophus for use in connection with Sophus Connect and Sophus Training Online for ProLaw (ii) you have the right to grant Sophus the rights and license to use Your Content as provided in these Terms of Service, and (iii) that the use of your Content on or through Sophus Connect and Sophus Training Online for ProLaw does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.

C. Your rights in Your Content. You retain any rights you have to Your Content, and you are solely responsible for protecting those rights. However, by providing us Your Content, you grant us a worldwide, royalty-free, irrevocable license to use, modify, publicly perform, publicly display, reproduce, and distribute Your Content on and through Sophus Connect, Sophus Training Online for ProLaw, and in connection with Sophus’ business. You agree that this license includes the right for us to make Your Content available to other users of Sophus Connect and Sophus Training Online for ProLaw. No compensation will be paid with respect to our use of Your Content. In addition, information or content found on or through Sophus Connect or Sophus Training Online for ProLaw that was not created by you is the property of Sophus or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said information or content, whether in whole or in part, for commercial purposes or for personal gain.

D. Removal of Your Content. You acknowledge and agree that Sophus may remove Your Content from Sophus Connect or Sophus Training Online for ProLaw if Your Content violates these Terms or Service or if your Company submits a request to remove Your Content. You agree that in the event Your Content is removed, you will not have access to Your Content and it may be deleted in compliance with applicable laws.

E. Disclaimers Regarding Content. Sophus does not own or control the content of users of Sophus Connect. Sophus specifically disclaims any liability with regard Your Content, the content of other users, the content of third-parties, the content of your Company, and any actions resulting from your use of Sophus Connect or Sophus Training Online for ProLaw. Please also note that the views of other users of Sophus Connect or Sophus Training Online for ProLaw do not necessarily reflect those of Sophus.

F. Limitations on Content. Materials and content downloaded and uploaded through Sophus Connect and Sophus Training Online for ProLaw and may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download any content or other materials from Sophus Connect or Sophus Training Online for ProLaw.

G. Removal/Deletion of Content. Sophus may remove or delete content or information that is available on or through Sophus Connect, including Your Content and content within Sophus Training Online for ProLaw in a manner consistent with these Terms of Service. In addition, content and information available through or within Sophus Connect that is owned by Sophus or third parties may be deleted at any time, without notice to you. You acknowledge and agree that you will not rely on the availability of such content or information, and you shall not hold Sophus liable for the deletion of such content or information, or for your use or inability to use such content or information.

6. SOPHUS’ INTELLECTUAL PROPERTY

All content owned by Sophus, including but not limited to the overall look and feel of Sophus Connect and Sophus Training Online for ProLaw, and all copyrights, patents, trademarks, trade secrets and other intellectual property rights related to Sophus Connect and Sophus Training Online for ProLaw, and all content, materials, information and data contained within Sophus Connect and Sophus Training Online for ProLaw (except for ProLaw, Your Content, and content owned by third parties), and all derivative works thereof, are, and shall remain, the sole and exclusive property of Sophus (the “Sophus IP”).

Sophus grants you a revocable, non-exclusive, non-transferable, limited license to use Sophus Connect, Sophus Training Online for ProLaw, and the Sophus IP therein solely for the term of these Terms of Service and solely in strict accordance with these Terms of Service. Upon termination of these Terms of Service, you shall immediately cease all use of Sophus Connect, Sophus Training Online for ProLaw, and the Sophus IP. Any rights not expressly granted herein are reserved by Sophus.

7. THIRD-PARTY SERVICES

Sophus Connect and Sophus Training Online for ProLaw may display, include or make available content owned by third parties, including data, information, applications and other products or services (“Third-Party Content”) or provide links to third-party websites or services, including but not limited to ProLaw (“Third-Party Services”). The inclusion of, or integration with, Third-Party Content or Third-Party Services and Sophus products or services does not imply that Sophus endorses such third-parties or is affiliated with such third-parties.

You acknowledge and agree that Sophus does not control Third-Party Content or Third-Party Services. You use the Third-Party Content and Third-Party Services at your own risk. You further agree that Sophus shall not be directly or indirectly responsible or liable for any damage or loss caused, or alleged to be caused, by any Third-Party Content or Third-Party Services. Sophus does not assume, and shall not have any liability or responsibility for, any Third-Party Content or Third-Party Services.

Third-Party Services and Third-Party Content are provided solely as a convenience to you, and you access and you use them entirely at your own risk and subject to said third parties’ terms and conditions. Sophus strongly recommends that you review the Third-Party Services’ terms and conditions and privacy policies.

8. YOUR SUGGESTIONS

Any feedback, comments, ideas, improvements, or suggestions (collectively, “Suggestions”) provided by you to Sophus shall remain the sole and exclusive property of Sophus. Sophus shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you. No confidential relationship is created between you and Sophus by your submission of Suggestions.

9. MODIFICATIONS, SUSPENSIONS, DISCONTINUATION & UPDATES

Sophus reserves the right to temporarily or permanently modify, suspend, or discontinue portions of Sophus Connect, Sophus Training Online for ProLaw, the content, materials, data and/or information found within Sophus Connect, Sophus Training Online for ProLaw, or any service to which it connects, with or without notice, and without liability to you.

If a dispute arises between you and your Company or between Company and any of its end users, Sophus may suspend Company and all Company’s end users’ access to Sophus Connect and Sophus Training Online for ProLaw until such dispute is resolved.

Sophus may also provide enhancements or improvements to the features/functionality of Sophus Connect or Sophus Training Online for ProLaw, which may include patches, bug fixes, updates, upgrades, and other modifications (“Updates”). Updates may modify or delete certain features and/or functionalities of Sophus Connect or Sophus Training Online for ProLaw. You acknowledge and agree that updates may be mandatory to maintain use of Sophus Connect or Sophus Training Online for ProLaw. You agree that Sophus has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of Sophus Connect or Sophus Training Online for ProLaw to you. You further agree that all Updates will be (a) deemed to constitute an integral part of Sophus Connect or Sophus Training Online for ProLaw, as the case may be, and (b) subject to the terms and conditions of these Terms of Service.

10. TERMINATION

These Terms of Service, your license to use the Sophus IP, and your access to Sophus Connect, Sophus Training Online for ProLaw, and all content, material, and data within Sophus Connect and Sophus Training Online for ProLaw, terminate immediately upon your breach of these Terms of Service. In the event the Company breaches these Terms of Service, then the Company’s end users’ use and access to Sophus Connect, Sophus Training Online for ProLaw, the Sophus IP, and all content, material, and data within Sophus Connect and Sophus Training Online for ProLaw also terminates.

To be clear – upon termination of these Terms of Service, you will no longer have access to content (including Your Content) within Sophus Connect and Sophus Training Online for ProLaw, and you will no longer be able to use or access Sophus Connect or Sophus Training Online for ProLaw. Upon termination, Your Content will also be deleted within a time frame determined in Sophus’ discretion, in a manner consistent with Sophus’ Privacy Policy. Sophus may maintain certain information, including personally identifiable information, as described in Sophus’ Privacy Policy. 

11. INDEMNIFICATION

You agree to indemnify and hold Sophus and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, arising out of or related to: (a) your use of Sophus Connect; (b) your use of Sophus Training Online for ProLaw; (c) your violation of these Terms of Service or any law or regulation; (d) your use of Third-Party Content or Third-Party Services; (e) Your Content; (f) your violation of any right of a third-party, including but not limited to the infringement of another’s intellectual property rights; and (g) if you are Company, disputes between you and any end user of Sophus Connect or Sophus Training Online for ProLaw.

12. SOPHUS DISCLAIMER OF WARRANTIES

SOPHUS CONNECT AND SOPHUS TRAINING ONLINE FOR PROLAW ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, SOPHUS, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO SOPHUS CONNECT AND SOPHUS TRAINING ONLINE FOR PROLAW, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, SOPHUS PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT SOPHUS CONNECT OR SOPHUS TRAINING ONLINE FOR PROLAW WILL MEET YOUR REQUIREMENTS, HELP YOU IMPROVE YOUR PROLAW UNDERSTANDING OR SKILLS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

WITHOUT LIMITING THE FOREGOING, SOPHUS DOES NOT MAKE ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED: (i) AS TO THE OPERATION OR AVAILABILITY OF SOPHUS CONNECT AND SOPHUS TRAINING ONLINE FOR PROLAW, THE THIRD-PARTY SERVICES, OR THE INFORMATION, CONTENT, AND MATERIALS OR PRODUCTS INCLUDED THEREON; (ii) THAT SOPHUS CONNECT, SOPHUS TRAINING ONLINE FOR PROLAW, THIRD-PARTY CONTENT, OR THIRD-PARTY SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; (iii) AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION, MATERIALS, OR CONTENT PROVIDED ON OR THROUGH SOPHUS CONNECT, SOPHUS TRAINING ONLINE FOR PROLAW, THIRD-PARTY CONTENT, OR THE THIRD-PARTY SERVICES; OR (IV) THAT SOPHUS CONNECT, SOPHUS TRAINING ONLINE FOR PROLAW, THIRD-PARTY CONTENT, THIRD-PARTY SERVICES, SOPHUS’ SERVERS, OR E-MAILS SENT FROM OR ON BEHALF OF SOPHUS ARE FREE OF VIRUSES, SCRIPTS, TROJAN HORSES, WORMS, MALWARE, TIMEBOMBS OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

13. SOPHUS LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOPHUS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, FOR LOSS OF DATA, CONTENT, YOUR CONTENT, OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE SOPHUS CONNECT, SOPHUS TRAINING ONLINE FOR PROLAW, THIRD-PARTY CONTENT, THIRD-PARTY SERVICES, SOFTWARE AND/OR HARDWARE USED WITH SOPHUS CONNECT OR SOPHUS TRAINING ONLINE FOR PROLAW, ANY CONDUCT OF ANY USER OF SOPHUS CONNECT OR SOPHUS TRAINING ONLINE FOR PROLAW, ANY INFORMATION, MATERIALS, OR CONTENT OBTAINED FROM OR THROUGH SOPHUS CONNECT OR SOPHUS TRAINING ONLINE FOR PROLAW, UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THESE TERMS OF SERVICE), EVEN IF SOPHUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. If this exclusion or limitation of liability is held inappropriate or unenforceable for any reason, Sophus’ maximum liability for any type of damages shall not exceed the total amount paid by you personally for Sophus Training Online for ProLaw for the past 12 months.

All claims against Sophus arising out of or relating to these Terms of Service must be brought within one year from the date of discovery or when the claim reasonably should have been discovered or shall be barred.

14. ARBITRATION, JURY TRIAL & CLASS ACTIONS

You hereby waive your constitutional and statutory rights to go to court and have a trial in front of a judge or a jury, instead electing that all claims and disputes shall be resolved by arbitration. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in court and are subject to very limited review by a court. In the event any litigation should arise between you and Sophus in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.

ALL CLAIMS AND DISPUTES BETWEEN YOU AND SOPHUS MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.

15. MISC. PROVISIONS

A. Governing Law. The laws of California, United States, excluding its conflicts of law rules, shall govern these Terms of Service and your use of Sophus Connect and Sophus Training Online for ProLaw. You consent to the personal jurisdiction of the courts located in San Diego, California.

B. Entire Agreement, Severability & Waiver. These Terms of Service constitute the entire agreement between you and Sophus regarding your use of Sophus Connect and Sophus Training Online for ProLaw, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Sophus with respect to Sophus Connect and Sophus Training Online for ProLaw. If any part of these Terms of Service is determined to be invalid or unenforceable pursuant, but not limited to, the arbitration agreement and class action waiver set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Service shall continue in effect. Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms of Service shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall be the waiver of a breach constitute waiver of any subsequent breach. A printed version of these Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings.

C. No Joint Venture/Partnership. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Sophus as a result of these Terms of Service or your use of Sophus Connect or Sophus Training Online for ProLaw.

D. Amendments. Sophus reserves the right, at its sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, Sophus will provide at least 30 days' notice prior to any new terms taking effect via the email address you have listed within your Sophus Connect portal. What constitutes a material change will be determined at Sophus’ sole discretion. By continuing to access or use Sophus Connect or Sophus Training Online for ProLaw after revisions become effective, you agree to be bound by the revised terms.

E. Email Notifications & Communications. You hereby grant consent for Sophus to send you notices, including any notices required by law, via email to the address listed in the Sophus Connect portal in lieu of communication by postal mail. Therefore, you shall make sure this email address is current and accurate. If you do not want to receive legal notices through email messages, and prefer to receive legal notices by mail, please contact Sophus and let us know.
